1. Scope of Services
Exert Tech Enterprise provides professional services including but not limited to:
Business Intelligence (BI) solutions
Digital Marketing services
Website development & e-commerce solutions
Related consulting, setup, and support services
The exact scope, deliverables, timeline, and pricing will be defined in a written quotation, proposal, or agreement agreed upon by both parties.
2. Engagement & Project Confirmation
A project is considered confirmed when any one of the following occurs:
Client accepts a written quotation or proposal
Client makes a payment (deposit or full)
Client provides written confirmation via email or messaging
Work will commence only after confirmation and required payment is received.
3. Pricing & Payment Terms
3.1 Pricing
All prices are quoted in Malaysian Ringgit (RM) unless stated otherwise.
Prices are based on the agreed scope of work.
Additional requests outside the agreed scope will be quoted separately.
3.2 Payment Terms
Website & system development projects usually require a deposit before work begins.
Remaining balance must be settled according to the agreed milestones or before final delivery.
Monthly services (e.g. Digital Marketing, BI support) are billed in advance.
3.3 Late Payment
Late payments may result in service suspension.
Exert Tech Enterprise reserves the right to withhold deliverables until payment is received.
4. Revisions & Change Requests
Reasonable revisions are included based on the agreed package.
Major changes, new features, or scope expansion will be treated as change requests and may incur additional fees.
Timeline may be adjusted accordingly.
5. Client Responsibilities
To ensure timely delivery, the client agrees to:
Provide accurate information, content, and materials on time
Respond to feedback or approval requests promptly
Ensure all provided content does not infringe third-party rights
Delays caused by late client input may impact project timelines.
6. Intellectual Property
6.1 Ownership
Upon full payment, the client owns the final approved deliverables unless otherwise stated.
Exert Tech Enterprise retains the right to showcase completed work in portfolios, case studies, and marketing materials.
6.2 Third-Party Tools
Some solutions may involve third-party platforms (e.g. WordPress, Alibaba Cloud, Google, Meta).
Licenses, subscriptions, or usage terms of these platforms are governed by their respective providers.
7. Hosting, Domains & Third-Party Services
Hosting, domain registration, advertising accounts, and cloud services are typically owned and paid for by the client.
Exert Tech Enterprise is not responsible for downtime, outages, or policy changes caused by third-party providers.
8. Digital Marketing & Advertising Disclaimer
Marketing performance depends on multiple factors beyond our control (market conditions, competition, budget, audience).
We do not guarantee specific results such as sales volume, ranking position, or revenue.
Ad spend is paid directly by the client unless otherwise agreed.
9. Business Intelligence & Data Disclaimer
BI dashboards and reports are based on data provided or connected systems.
We are not responsible for inaccurate data caused by source systems, integrations, or third-party platforms.
Insights provided are for decision support and do not constitute financial or legal advice.
10. Confidentiality
Both parties agree to keep confidential information, data, and business materials private and not disclose them to third parties unless required by law.
11. Limitation of Liability
To the maximum extent permitted by law:
Exert Tech Enterprise shall not be liable for indirect, incidental, or consequential damages.
Our total liability shall not exceed the total fees paid for the specific service in question.
12. Termination
Either party may terminate services with written notice if:
There is a material breach of these terms
Payment obligations are not met
Fees for work completed up to the termination date remain payable.
13. Force Majeure
We shall not be held liable for delays or failure to perform due to events beyond reasonable control, including natural disasters, system outages, or government actions.
14. Amendments
Exert Tech Enterprise reserves the right to update these Terms of Service at any time.
The latest version will always be published on our website.
15. Governing Law
These Terms of Service are governed by and interpreted in accordance with the laws of Malaysia.
